Notice to End a Business Contract
Ending a supplier, service, software, contractor or consultancy contract? A formal notice of termination that relies on the contract's own termination clause, quoted as you give it, states the date the contract ends and sets out the handover: return of property and data, confidential information, access and the final invoice. It can also record your position on a term you consider unfair in a standard form small business contract. You approve it before it is sent. Ready in about 5 minutes.
What this document does
- A formal notice of termination that quotes the clause you rely on and states the date the contract ends.
- Works out the end date from the notice period in your clause when you ask it to.
- Sets out the handover: return of property and data, confidential information, access and the final invoice.
- For termination after a breach, records the breach and your earlier notice to fix it, as you describe them.
- Can record your position on an unfair term, such as an exit fee, in a standard form small business contract.
- You review the draft first; we only send it to the other party on your say-so.

Does it work in my state?
Yes, anywhere in Australia. A business contract is ended under its own terms, and the unfair contract terms law is the same in every state and territory.
What does the notice rely on?
Only the termination clause you quote and the facts you give. It does not add grounds, claim damages or say the other party has breached the contract beyond your own account.
Does it work for employment contracts or leases?
No. Employment contracts, residential and commercial leases and franchise agreements have their own rules. This notice is for supplier, service, software, contractor and consultancy contracts between businesses.
What about an unfair exit fee?
Under the Australian Consumer Law, an unfair term of a standard form small business contract is void (s 23(1)). A small business contract is one where a party employs fewer than 100 people or has turnover under $10 million (s 23(4)). The ACCC says that from 9 November 2023, proposing, using or relying on an unfair term in a standard form contract is prohibited and penalties apply, for contracts made or renewed on or after that date. For a contract made before 9 November 2023 and not renewed since, the earlier test applies: a party employing fewer than 20 people, and an upfront price of up to $300,000 (or $1 million for a term over 12 months).
How is the notice given?
Once you approve it, we email it to the address you give. Many contracts say how notices must be given, for example by post to a stated address; where yours does, the notice is given that way as well.
